What is Business Combination?
A business combination is the legal merger or acquisition transaction by which a SPAC takes a target operating company public. It is the de-SPAC closing event, accompanied by the proxy vote, redemption window, PIPE funding (if any), and the transition of the SPAC ticker to the post-merger company ticker.
Why Business Combination matters
Business-combination announcement and closing are the two events that determine SPAC outcome economics. The announcement 8-K and the eventual proxy define what the market thinks the deal is worth; the closing closes the redemption window and locks in the cash position. Every disclosure between announcement and close is a chance to either widen or narrow the gap between deal perception and deal reality. Most SPACs underinvest in this window.
