What is 8-K Filing?
An 8-K is the SEC current-report filing that public companies must file to announce material events between regular periodic filings. Triggering events include earnings releases, executive changes, M&A, bankruptcy, departures of key personnel, and changes in auditor or accountant. 8-Ks are typically due within 4 business days of the triggering event.
